Terms of Service
Last updated 13 October 2026
These Terms of Service (the “Terms”) govern your access to and use of the ugctobrand marketplace, website and related services (the “Platform”). By creating an account, posting a campaign, purchasing a package or accepting a brief, you agree to be bound by these Terms.
1. Acceptance of These Terms
You must read and agree to these Terms before using the Platform. If you do not agree, you must not use the Platform. Where you use the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Eligibility and Accounts
You must be at least 18 years old and able to enter into binding contracts to use the Platform. You agree to provide accurate, current and complete information when registering and to keep it up to date.
- You are responsible for all activity that occurs under your account and for keeping your credentials secure.
- A single account may hold both a brand workspace and a creator workspace.
- We may request identity, business or bank verification before enabling payouts or campaign funding.
3. The Marketplace
The Platform connects brands and businesses (“Brands”) with content creators (“Creators”). ugctobrand is a neutral marketplace and is not a party to the agreement between a Brand and a Creator regarding the creative services themselves, except as described for escrow in these Terms.
Creators are independent contractors. Nothing in these Terms creates an employment, agency or partnership relationship between ugctobrand and any Creator or Brand.
4. Escrow, Funding and Payments
Campaign budgets are pre-funded by the Brand into escrow before work begins. Funds held in escrow are released to the Creator only after the Brand approves the delivered content, or automatically once the review window expires without a dispute.
- Unless otherwise stated on the campaign, the Brand has 72 hours from proof submission to review the deliverables.
- If the Brand takes no action within the review window, funds are released automatically.
- If the Brand requests a permitted revision, the review window restarts from the resubmission of the revised deliverables.
- Where a Creator fails to deliver within the agreed deadline (plus any grace period), escrow is returned to the Brand and the contract closes without payment.
Escrow balances are held with our payment partners. ugctobrand does not hold client money as a bank and does not pay interest on escrow balances.
5. Creator Payouts and Verification
To receive payouts, Creators must complete identity and bank verification. Payouts are sent only to a bank account or wallet in the Creator’s verified legal name.
- Payouts are made in the currency recorded on the creator profile and may be subject to the settlement times of our payment partners.
- We may withhold or reverse a payout where there is a verified dispute, suspected fraud, or a legal or regulatory requirement to do so.
- Creators are responsible for any taxes arising from amounts they receive through the Platform.
6. Deliverables, Review and Revisions
Creators agree to deliver content that materially conforms to the brief agreed with the Brand. Brands agree to review submissions promptly and in good faith, and to provide specific, actionable feedback where a revision is requested.
Unless expressly stated otherwise, a campaign permits a maximum of one revision per deliverable.
7. Disputes and Refunds
If a Brand believes a deliverable does not conform to the brief, it must raise a dispute within the review window. While a dispute is open, the automatic release timer is paused and the funds remain in escrow.
- We will review the brief, the submitted proof and any correspondence, and may request additional information from either party.
- We may release all, part, or none of the escrowed amount to the Creator, and refund the balance to the Brand.
- Our determination in a dispute is final as between the parties for the purposes of releasing escrow funds.
8. Fees and Taxes
Creating an account and browsing the marketplace is free. We charge a platform fee on funds released from escrow, which is disclosed to both parties before a campaign is funded.
Each party is responsible for its own taxes. Where required by law, we may collect and remit taxes or withhold amounts from a payout.
9. Content, Intellectual Property and Usage Rights
Creators retain ownership of the content they create unless a transfer of rights is expressly agreed. Where a Brand purchases usage rights, the scope and duration of those rights are as stated on the package or campaign.
- Brands must not use delivered content beyond the rights purchased.
- Creators must not deliver content that infringes third-party rights or that they are not entitled to license.
- You grant us a limited licence to host and display content you submit for the purpose of operating the Platform.
10. Prohibited Conduct
You agree not to:
- Circumvent the Platform to take a transaction off-platform in order to avoid fees.
- Submit false proof of delivery, fake engagement or misrepresented audience metrics.
- Post content that is unlawful, hateful, defamatory, infringing or misleading.
- Use the Platform to launder money, commit fraud, or violate any applicable law.
11. Suspension and Termination
We may suspend or terminate your account if you breach these Terms, if required by law, or to protect the Platform or other users. Where your account is terminated while funds are in escrow, we will settle those funds in accordance with these Terms.
12. Disclaimers and Limitation of Liability
The Platform is provided on an “as is” and “as available” basis. We do not guarantee that a Brand will find a suitable Creator, that a Creator will receive work, or that content will achieve any particular performance.
To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms is limited to the total platform fees we received in respect of the affected transaction. We are not liable for indirect or consequential losses.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the Platform before they take effect. Continuing to use the Platform after the effective date constitutes acceptance of the updated Terms.
